1. INTRODUCTION

Welcome to DUBOAT, accessible from https://duboat.com. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and DUBOAT.

By accessing, browsing, or using the DUBOAT platform (including our website, mobile applications, and related services, collectively the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Platform.

If you are using the Platform on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.

2. DEFINITIONS

“Account” means the registered user account created on the Platform.

“Listing” means any advertisement posted by a User for the sale, rental, or promotion of boats, marine equipment, or related services.

“Paid Services” means any paid features or services offered on the Platform, including but not limited to featured listings, premium placements, extended listing durations, and promotional packages.

“User Content” means any content, including text, images, videos, and other materials uploaded or posted by Users on the Platform.

“Seller” means a User who posts a Listing to sell, rent, or promote boats or marine-related services.

“Buyer” means a User who browses or responds to Listings.

3. USER ACCOUNTS

3.1 Account Registration

To access certain features of the Platform, including posting Listings, you must create an Account by providing accurate, current, and complete information. You agree to:

• Provide truthful and accurate information during registration
• Maintain and promptly update your Account information
• Keep your password confidential and secure
• Be responsible for all activities conducted through your Account
• Notify us immediately of any unauthorized use of your Account

3.2 Account Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts under UAE law to create an Account. By creating an Account, you represent and warrant that you meet these requirements.

3.3 Business Accounts

If you operate as a business entity, you must provide valid business documentation, including your UAE trade license or equivalent registration documents. DUBOAT reserves the right to request additional verification documents at any time.

3.4 Account Suspension and Termination

DUBOAT reserves the right to suspend or terminate your Account at any time if you:

• Breach these Terms
• Violate applicable laws or regulations
• Engage in fraudulent or deceptive practices
• Post prohibited or misleading content
• Fail to pay outstanding fees

4. PAID SERVICES AND LISTING FEES

4.1 Payment for Listings

DUBOAT operates as a paid listing platform. Users must pay applicable fees to post and promote Listings on the Platform. Current pricing and package details are available on the Platform and may be updated from time to time at DUBOAT’s sole discretion.

4.2 Types of Paid Services

Paid Services may include, but are not limited to:

• Standard Listings: Basic advertisement posting with standard visibility
• Featured Listings: Enhanced visibility and premium placement in search results
• Premium Packages: Combination of features including top placement, extended duration, and additional promotional benefits

4.3 Payment Terms

• All fees are displayed in United Arab Emirates Dirhams (AED) and are inclusive of applicable taxes unless otherwise stated
• Payment must be made in full before your Listing is published or before accessing Paid Services
• Payment can be made through our authorized payment processors using accepted payment methods displayed at checkout
• By providing payment information, you authorize DUBOAT and/or its payment processors to charge the specified amount to your selected payment method
• You are responsible for ensuring your payment method has sufficient funds to cover all fees
• DUBOAT is not responsible for additional charges, fees, or penalties imposed by your bank or payment provider

4.4 Pricing Changes

DUBOAT reserves the right to modify pricing for Paid Services at any time. Price changes will not affect Listings or services already paid for, but will apply to future purchases. Users will be notified of material price changes through the Platform or via email.

4.5 Taxes

All applicable taxes, including UAE Value Added Tax (VAT), will be calculated and added to your total payment at checkout in accordance with UAE tax regulations. Tax invoices will be provided as required by UAE law.

5. REFUND POLICY

5.1 No Refund Policy

IMPORTANT: All fees paid for Paid Services, including but not limited to listing fees, featured placement fees, and promotional packages, are strictly non-refundable under all circumstances, except as specifically provided in Sections 5.2 and 5.3 below.

You acknowledge and agree that:

• Once payment is processed and your Listing is published or Paid Service is activated, no refunds will be issued
• Paid Services are provided for your convenience and to enhance visibility of your Listings
• Payment for Paid Services does not guarantee any specific results, including but not limited to:
  • A minimum number of views, leads, or inquiries
  • Successful sale, rental, or transaction of the listed item
  • Any specific outcome or buyer interest
• Market conditions, listing quality, pricing, and other factors beyond DUBOAT’s control affect the success of your Listing

5.2 Exceptions to No Refund Policy

Refunds may be considered only in the following limited circumstances:

a) Technical Errors: If DUBOAT experiences a technical malfunction that prevents your Listing from being published or displayed on the Platform, and the issue cannot be resolved within 48 hours, you may be eligible for a refund or credit toward future services at DUBOAT’s sole discretion.

b) Duplicate Payments: If you are charged multiple times for the same Listing or service due to a payment processing error, the duplicate charge(s) will be refunded.

c) Unauthorized Transactions: If you can demonstrate that a payment was made without your authorization, and you report this within 7 days of the transaction, we will investigate and may issue a refund upon verification.

d) Service Not Delivered: If DUBOAT fails to deliver the Paid Service you purchased (e.g., your paid Listing is never published, or the service features are not activated) despite payment confirmation, you may be eligible for a full refund.

5.3 Refund Request Process

To request a refund under the exceptions listed in Section 5.2:

• Contact our support team within 7 days of the payment date
• Provide your transaction reference number, Account details, and detailed explanation of the issue
• Include any supporting documentation or evidence
• DUBOAT will review your request within 10 business days
• If approved, refunds will be processed to the original payment method within 14 business days
• DUBOAT’s decision on refund requests is final and binding

5.4 Rejected or Removed Listings

No refunds will be issued if:

• Your Listing is rejected for violating these Terms, our Acceptable Use Policy, or UAE laws
• Your Listing is removed due to prohibited content, misleading information, or policy violations
• You decide not to proceed with your Listing after payment
• You edit your Listing in a manner that violates our policies, requiring removal
• Your Account is suspended or terminated for breach of these Terms

You are responsible for ensuring your Listing complies with all applicable policies before making payment. We recommend reviewing our Listing Guidelines and Acceptable Use Policy before posting.

5.5 Credits and Alternative Resolution

In circumstances where a refund is not provided, DUBOAT may, at its sole discretion, offer:

• Account credit toward future Paid Services
• Extension of your Listing duration
• Complimentary features or upgrades
• Reposting of your Listing without additional charge

Such alternative resolutions are provided as a goodwill gesture and do not constitute an admission of liability or obligation to provide similar resolutions in the future.

6. LISTING GUIDELINES AND CONTENT STANDARDS

6.1 Prohibited Content

Users must not post Listings or content that:

• Contains false, misleading, or deceptive information
• Violates intellectual property rights of third parties
• Promotes illegal activities or violates UAE laws
• Contains offensive, discriminatory, or inappropriate material
• Includes spam, advertising for competing services, or irrelevant content
• Involves stolen property or items obtained illegally
• Relates to vessels or equipment with unclear ownership or documentation
• Includes personal contact information in violation of our guidelines

6.2 Listing Requirements

All Listings must:

• Accurately describe the boat or marine equipment being advertised
• Include genuine, current photographs of the actual item
• State truthful specifications, condition, and pricing
• Comply with UAE maritime regulations and laws
• Include valid ownership documentation when required

6.3 Content Ownership and License

You retain ownership of all User Content you submit to the Platform. However, by posting content, you grant DUBOAT a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and modify your content for the purpose of operating and promoting the Platform.

6.4 Content Monitoring and Removal

DUBOAT reserves the right to:

• Review, monitor, and moderate all Listings and User Content
• Remove or reject any content that violates these Terms without notice or refund
• Edit content for clarity, accuracy, or compliance purposes
• Take down content upon receiving valid legal requests or complaints

7. NO GUARANTEE OF RESULTS

7.1 Platform Services

DUBOAT provides a platform that connects Sellers with potential Buyers. We facilitate the listing and discovery process but do not:

• Guarantee any sales, leads, or inquiries
• Verify the accuracy of Listings (beyond basic compliance checks)
• Participate in or guarantee transactions between Users
• Act as an agent, broker, or representative of any User

7.2 User Responsibility

The success of your Listing depends on numerous factors including:

• Quality and accuracy of your Listing content
• Competitive pricing and market conditions
• Condition and desirability of the boat or equipment
• Timing and seasonal demand
• Your responsiveness to inquiries
• External market factors beyond DUBOAT’s control

You acknowledge that purchasing Paid Services does not guarantee any specific outcome, and DUBOAT assumes no responsibility for the results or lack thereof from your Listings.

8. TRANSACTIONS BETWEEN USERS

8.1 User-to-User Transactions

DUBOAT is a platform that facilitates connections between Sellers and Buyers. All transactions, negotiations, and agreements occur directly between Users. DUBOAT is not a party to any such transactions.

8.2 Transaction Responsibility

You acknowledge and agree that:

• DUBOAT does not verify the identity, credentials, or representations of Users
• You are solely responsible for conducting due diligence before any transaction
• DUBOAT is not responsible for the quality, safety, legality, or accuracy of Listings
• DUBOAT does not guarantee the completion of any transaction
• Payment for goods or services between Users is conducted at your own risk
• You should meet in safe public locations and take appropriate safety precautions

8.3 Dispute Resolution Between Users

In the event of a dispute arising from a transaction between Users:

• DUBOAT is not obligated to mediate or resolve disputes
• Users must resolve disputes directly between themselves
• DUBOAT may, at its discretion, provide a communication channel but assumes no liability
• Users should seek legal advice or pursue dispute resolution through appropriate UAE legal channels

8.4 Fraudulent Activity

If you suspect fraudulent activity or encounter a problematic User, report it to DUBOAT immediately. While we may investigate and take action (including Account suspension), we cannot guarantee prevention of fraud and recommend exercising caution in all transactions.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 DUBOAT’s Intellectual Property

All content on the Platform, including design, graphics, logos, text, software, and functionality, is the property of DUBOAT and is protected by UAE and international intellectual property laws. You may not:

• Reproduce, distribute, or modify Platform content without authorization
• Use DUBOAT’s trademarks, logos, or branding without written permission
• Reverse engineer or attempt to extract source code from the Platform
• Create derivative works based on the Platform

9.2 Limited License

DUBOAT grants you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose, subject to these Terms.

10. LIMITATION OF LIABILITY

10.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY UAE LAW, DUBOAT SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from User transactions or interactions
• Content posted by Users or third parties
• Unauthorized access to or alteration of your transmissions or data
• Errors, mistakes, or inaccuracies of content
• Personal injury or property damage resulting from Platform use
• Interruptions or cessation of Platform services

10.3 Maximum Liability

In no event shall DUBOAT’s total liability to you exceed the amount you paid to DUBOAT in the 12 months preceding the claim, or AED 500, whichever is less.

10.4 UAE Law Compliance

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under UAE law.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless DUBOAT, its affiliates, directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your violation of any law or third-party rights
• Your User Content or Listings
• Your use of the Platform
• Transactions or disputes with other Users
• Any fraudulent, negligent, or willful misconduct

12. PRIVACY AND DATA PROTECTION

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information in accordance with UAE data protection regulations. By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy.

13. MODIFICATIONS TO TERMS

DUBOAT reserves the right to modify, amend, or update these Terms at any time. Changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms. Material changes will be communicated via email or prominent notice on the Platform. We recommend reviewing these Terms periodically.

14. TERMINATION

14.1 Termination by User

You may terminate your Account at any time by contacting our support team. Termination does not entitle you to any refund of fees paid for Paid Services or active Listings.

14.2 Termination by DUBOAT

DUBOAT may suspend or terminate your Account immediately without notice if:

• You breach these Terms
• Your Account activity is deemed suspicious or fraudulent
• Required by law or legal authority
• Necessary to protect the Platform or other Users

Upon termination, your right to access the Platform ceases immediately, and any outstanding Listings will be removed.

14.3 Effect of Termination

Upon termination:

• You remain liable for any outstanding fees or obligations
• Sections that by their nature should survive termination (including limitations of liability, indemnification, and dispute resolution) will continue to apply
• No refunds will be issued for unused services or remaining Listing durations

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, and specifically the laws applicable in the Emirate of [Your Emirate, e.g., Dubai].

15.2 Jurisdiction

Subject to Section 15.3, any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of [Your Emirate, e.g., Dubai], UAE.

15.3 Dispute Resolution

Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations. If negotiations fail within 30 days, either party may pursue resolution through the UAE courts.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and DUBOAT regarding use of the Platform.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid under UAE law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

DUBOAT’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your Account without DUBOAT’s prior written consent. DUBOAT may assign these Terms without restriction.

16.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and DUBOAT.

16.6 Force Majeure

DUBOAT shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, internet failures, or government actions.

16.7 Language

These Terms are prepared in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
